Broadway Podcast Studios — Studio Rental Agreement

This Rental Agreement ("Agreement") is entered into between Broadway Podcast Studios ("Studio," "we," "us") and the individual or entity booking the space ("Renter," "you") at the time of booking. By checking the acceptance box during online checkout, you acknowledge that you have read, understood, and agreed to all terms below. This Agreement is legally binding.

1. Booking, Payment, and Access

Your booking covers the specific date, start time, and duration you selected at checkout. Payment is processed at booking via Stripe and authorizes us to charge the credit card on file for the booking amount and, where applicable under this Agreement, for additional fees described below. Access instructions will be sent by email prior to your session.

2. Use of Space and Equipment

The Studio is provided for legitimate podcast, video, photography, and creative content production. You may use the furnishings, lighting, microphones, backdrops, and other equipment located in the Studio (collectively, "Equipment") solely for these purposes. Equipment must remain inside the Studio at all times. You may not remove, dismantle, modify, or repurpose any Equipment.

3. Return of Space in Original Condition

You are responsible for returning the Studio to the same condition in which you received it. Before leaving, you must:

A cleaning fee of $75 will be charged if the space requires more than routine re-setting between bookings.

4. Overtime Fees

Your booking window is strictly enforced. If you remain in the Studio beyond your scheduled end time, you authorize us to automatically charge the credit card on file at a rate of 1.5× the hourly rate then in effect, billed in 30-minute increments (minimum one increment). Partial increments are rounded up. You agree that our timestamped access logs and/or physical observation by on-site staff are conclusive evidence of overtime.

5. Damage, Loss, and Equipment Liability

You are responsible for any damage to the Studio, the building, or the Equipment that occurs during your booking, excluding ordinary wear and tear. You are also responsible for the replacement cost of any Equipment that is missing at the end of your booking. Damage includes, without limitation, stains, scratches, broken fixtures, liquid damage, smoke damage, and damage to microphones, cables, lights, furniture, and the green wall.

Credit Card Authorization. By accepting this Agreement, you expressly authorize Broadway Podcast Studios to charge the credit card used for your booking for: (a) the cost to repair or replace damaged or missing Equipment at its current retail replacement value, (b) any required professional cleaning beyond routine re-setting, and (c) any overtime fees under Section 4. You will receive an itemized invoice by email for any such charges. Disputes must be submitted in writing within 7 days of the charge.

6. Prohibited Content and Activities

The following are strictly prohibited on the premises and result in immediate termination of the booking without refund and may result in additional damages, including the full forfeiture of any deposit and charges under Section 5:

7. Guest Capacity and Conduct

Maximum occupancy is 8 people per booking unless otherwise approved in writing. You are responsible for the conduct of everyone you bring into the space and any damage they cause. All occupants must be at least 18 years old or accompanied by a parent or legal guardian.

8. Noise and Building Rules

The Studio is located inside Broadway Salon Studios. You agree to keep noise at reasonable levels outside the Studio (hallways, entry, parking), to respect other tenants and clients of the salon building, and to follow all posted building rules. Excessive noise complaints may result in termination of your booking without refund.

9. Cancellation and Rescheduling

Bookings cancelled more than 48 hours before the scheduled start are fully refundable. Cancellations within 48 hours are non-refundable but may be rescheduled once within 30 days, subject to availability. No-shows forfeit the full booking amount.

10. Waiver of Liability and Assumption of Risk

You voluntarily assume all risk of injury, loss, or damage to yourself, your guests, and your property arising out of your use of the Studio. To the fullest extent permitted by law, you release, waive, and discharge Broadway Podcast Studios, Broadway Salon Studios, their owners, operators, employees, contractors, and affiliates ("Released Parties") from any and all claims, demands, causes of action, liabilities, or damages, known or unknown, arising out of or related to your booking, use of the Equipment, or presence on the premises, excluding claims arising solely from the Released Parties' gross negligence or willful misconduct.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from any claim, loss, liability, or expense (including reasonable attorney's fees) brought by any third party (including your guests) arising out of your booking or your breach of this Agreement.

12. Intellectual Property

You retain ownership of all content you create during your booking. You grant Broadway Podcast Studios a non-exclusive, royalty-free license to use still photographs of the Studio that incidentally appear in your public promotional material solely for the Studio's marketing purposes. The Studio's name, logos, trademarks, and interior design remain our property.

13. Insurance

For productions involving additional lighting, rigging, pyrotechnics, animals, children under 18, or crews exceeding 6 people, you must provide proof of commercial general liability insurance of at least $1,000,000 naming Broadway Podcast Studios as an additional insured before your booking begins.

14. Force Majeure

Neither party is liable for failure to perform due to causes beyond their reasonable control, including natural disaster, power outage, government order, labor action, or pandemic. If the Studio is unusable for such reasons, we will offer a full refund or reschedule at your option.

15. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of California without regard to its conflict-of-laws rules. Any dispute arising out of or related to this Agreement will be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction there.

16. Electronic Acceptance

By checking the "I agree" box at checkout, you acknowledge that electronic acceptance of this Agreement has the same force and effect as a handwritten signature. We will retain a record of your acceptance, including timestamp, IP address, and browser information, as evidence of your assent.

17. Entire Agreement

This Agreement is the entire agreement between you and Broadway Podcast Studios regarding your booking and supersedes any prior agreements or understandings. If any provision is held unenforceable, the remaining provisions remain in full effect.
